1. Agreement to Terms
Welcome to Folio Compliance. By accessing our website and utilizing our SOC 2 Readiness assessment services, you agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you and Folio Compliance. If you do not agree with all of these terms, you are expressly prohibited from using our services and must discontinue use immediately. Our services are specifically designed for small to medium-sized enterprises seeking preparation for SOC 2 compliance audits.
2. Service Usage and Intellectual Property Rights
Folio Compliance provides advisory services, including readiness assessments, gap analysis, and remediation guidance. All proprietary methodologies, templates, assessment frameworks, and digital content provided during the engagement remain the exclusive intellectual property of Folio Compliance. Users are granted a limited, non-transferable license to use these materials solely for the internal purpose of preparing for a formal SOC 2 audit.
- Users may not reproduce, redistribute, or sell any proprietary assessment tools or documentation provided by Folio Compliance to any third party without express written consent.
- Users are prohibited from using the service to develop a competing compliance advisory product or reverse-engineering our assessment logic.
- Users must acknowledge that Folio Compliance is a readiness firm and not a CPA firm; therefore, our reports cannot be used as a substitute for a formal SOC 2 Type I or Type II audit report issued by a licensed practitioner.
3. Disclaimer and Limitation of Liability
The services provided by Folio Compliance are offered on an 'AS IS' and 'AS AVAILABLE' basis. While we aim to prepare your organization for a successful audit, we do not guarantee that our readiness assessment will ensure a passing or 'unqualified' opinion from your chosen CPA firm. Folio Compliance shall not be held liable for any direct, indirect, or consequential losses, including audit failures or data breaches, resulting from the implementation of our recommendations. Our total liability for any claim arising under these terms shall not exceed the amount paid by you for the specific readiness service in question.
4. Governing Law, Modifications, and Contact Information
These Terms and Conditions and your use of the service are governed by and construed in accordance with the laws of the jurisdiction in which Folio Compliance is registered, without regard to its conflict of law principles. Any legal action or proceeding related to these terms shall be brought exclusively in the courts of that jurisdiction.
Folio Compliance reserves the right to modify these terms at any time. We will notify users of any changes by updating the 'Effective Date' at the top of this page. Your continued use of our services after such modifications constitutes your acknowledgement and acceptance of the updated terms.
